AGREEMENTS AND DISCLOSURES FOR ATTORNEYHUNTER LISTINGS

MegaHunter, Inc., (hereinafter “MH”), an Illinois corporation, makes the following disclaimers and disclosures, and Subscriber agrees to the following terms:

1. Subscriber warrants that Subscriber, or that attorneys in Subscriber’s firm is Subscriber is a professional corporation:

• is licensed to practice law within the United States or Canada;
• shall be fully responsible for all legal services provided to Subscriber’s clients

2. Subscriber acknowledges that Subscriber has the sole responsibility to ensure that Subscriber’s use of any information, products, or services provided by MH complies with any state or federal laws, rules, requirements, or standards applicable to the Subscriber. MH makes no warranty of compliance with any such rules, regulations, or standards with respect to how Subscriber puts to use information, products, or services provided by MH.

3. MH makes no guarantee that any benefits that Subscriber may realize under this Agreement will be similar or bear any relationship to benefits obtained in other markets by other subscribers.

4. If Subscriber breaches any term of this Agreement, MH, at its option and without prejudice to any rights or remedies provided for hereunder, may consider Subscriber in default under this Agreement and may terminate Subscriber’s rights and subscription upon giving them fifteen (15) days; written notice setting forth the reasons therefore. In the event of such breach or default, all fees owed to MH, including subscription fees, shall become immediately due and payable.

5. If MH breaches any material covenant or term of this Agreement and has failed or refused to cure such default within fifteen (15) days after receiving written notice of such default, Subscriber, as Subscriber’s exclusive remedy for a breach of this Agreement by MH, may terminate this Agreement.

6. Subscriber may terminate this Agreement for any reason, giving thirty (30) days written notice to MH.

7. In the event that this Agreement is terminated as provided herein, Subscriber shall not be entitled to a refund or rebate of all or any portion of any fee paid hereunder.

8. Subscriber agrees that MH shall not be liable for any consequential, indirect, or punitive damages arising out of any breach, delay, or default in performance under this Agreement.

9. Subscriber does hereby agree to hold MH harmless against any liabilities resulting from all claims whatsoever arising from marketing efforts guided by or created by MH on behalf of Subscriber.

10. MH reserves the right at any time, in its sole discretion, to modify or discontinue, temporarily or permanently, its services or any part thereof with or without notice. Subscriber agrees to allow MH to place a reasonable number of hyperlinks from its MEGASITE to other websites, at MH’s sole discretion. Subscriber agrees that neither MH, BizCrafter Corp., Affiliates, nor any third party shall be liable to Subscriber for any modifications, suspension, or discontinuance of services other than to the extent of a pro-rata refund if service is permanently discontinued.

11. Subscriber agrees not to use in any manner any of the logos, product and service names, trademarks or information provided by and through the service with respect to MH, BizCrafter Corp. or Affiliates without express written consent.

12. This Agreement shall be binding upon, and inure to the benefit of, the parties hereto and their respective successors and assigns. Notwithstanding the above, Subscriber may not assign its rights or obligations under this Agreement without the consent of MH.

13. Subscriber agrees to make prompt payment of any purchase, hosting, maintenance, or other fees and understands that failure to do so can result in termination or interruption of service.

14. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision will be struck from the Agreement and the remaining provisions will remain in full force and effect.

15. This Agreement shall be deemed to have been made in the State of Illinois and the law of Illinois hereof shall govern all aspects. Any controversy arising out of or relating to this Agreement shall be subject to the jurisdiction of the Circuit Court of the Fourteenth Judicial Circuit of Illinois, Rock Island County, Illinois. Subscriber consents to aforesaid.
